Terms and Conditions

Interpretation 1.1
In
these Conditions: 1.2
"VPS"
shall mean Jane Owen trading as Vital Product Solutions. 1.3
"The
Client" shall mean any person whose order for Services is accepted by VPS. 1.4
"Services"
shall mean the services, work and materials which VPS is to supply. 2
Services 2.1
Services
will be carried out promptly and in accordance with statutory requirements
relevant to the issues raised. Advice will be provided in the form of a Product
Appraisal Report and/or additional specific requirements agreed between VPS and
the Client. 2.2
Any
typographical clerical or other error or omission in any literature, document or
information issued by VPS will be correctable without any liability on the part
of VPS.

Acceptance and Time 3.1
Services
once commissioned by the Client and accepted by VPS cannot be cancelled,
deferred or altered by the Client except by mutual agreement. Any cancellation
of Services must be made at the earliest opportunity. Once a Product Appraisal
Report has been delivered to the Client, payment will become due. 3.2
The
Services commissioned by the Client shall be carried out with all due speed,
however, delivery dates are approximate only and time for delivery shall not be
of the essence. 4.1
The
Services are provided on the basis of, and in strict reliance upon, all material
facts and information having accurately been disclosed to VPS by the Client. The
Client agrees to confirm all relevant instructions, data and information in
writing if requested by VPS. VPS shall not be liable for any loss or damage
arising either from the Client failing to disclose such facts and information or
from the Client's failure to follow any advice or recommendation given by VPS. 4.2
Although
every care is taken by VPS in responding to requests for information and advice
by telephone, facsimile, e-mail or similar facilities, no liability can be
accepted where information received, or information dispatched, is distorted in
transmission by such media. 4.3
Any claim by the Client which is based
on any defect or failure in the provision by VPS of the Services hereunder shall
be notified by the Client to VPS in writing within 30 days from the date of
completion of the Services or (where the defect or failure was not apparent on
reasonable inspection) from the date of discovery of the defect or failure. If
the Client does not notify VPS accordingly then VPS shall have no liability for
such defect or failure. 5
Charges
and Payments Charges
are payable by the Client without deduction within 28 days after the date of
VPS’s invoice. VPS reserves the right to withhold undertaking any Services for
the Client until payment of all sums due from the Client has been made and/or to
require payment in full in advance before undertaking further Services. 6
Confidentiality VPS
undertakes to ensure that client confidentiality is maintained at all times. 7 Overriding Conditions and Law Unless
otherwise specifically agreed in writing by VPS these Conditions shall govern
all contracts between VPS and the Client and shall prevail over any conditions
or terms stipulated, referred to or incorporated by the Client in its order or
negotiations. |
